By using the Wine Lister API, you acknowledge that you are currently a fully paid-up subscriber to Wine Lister and have read and understood and agree to be bound by these Wine Lister API Terms of Use (the “Terms”).
If you are acting on behalf of a company or other entity, you represent and warrant that you have full legal authority to access the Wine Lister API on behalf of that entity and bind it to these Terms. If you are not authorized, you may not accept the Terms.

You understand that Wine Lister monitors API usage, and may terminate your license if misuse is detected. You will grant Wine Lister direct access to any page on which API data is being displayed. If this requires a login/password, you will provide this to Wine Lister free of charge.

You agree to assist Wine Lister in verifying your compliance with these Terms by providing us with information about your usage and storage of content. If you do not demonstrate full compliance with these Terms, we may restrict or terminate your access to the APIs.
You must immediately delete all Content if we terminate your use of the API for breach of these Terms, except when doing so would cause you to violate any law or obligation imposed by a governmental authority.
Subject to these Terms, we grant you a limited, non-exclusive, non-assignable, non-sub-licenseable, and non-transferable license during the Term to display our Brand Features to promote or advertise your use of the API. “Brand Features” means any trade names, trademarks, service marks, logos and domain names that Wine Lister makes available to you.
You may promote your use of our API, including talking to traditional and online media and your users, so long as you do so truthfully and without implying that your website (or other materials making use of the API) is created or endorsed by Wine Lister (or otherwise embellishing your relationship with Wine Lister). However, you may not issue any formal press release via traditional or online media referring to Wine Lister without Wine Lister’s prior consent.
We may publicly refer to you, orally or in writing, as a licensee of the API. We may also publish your name and logo (with or without a link to your website) on our Website, in press releases, and in promotional materials without additional consent.
We may provide you with support or modifications for the API at our sole discretion and we may stop providing support or modifications to you at any time without notice or liability to you.
We may release subsequent versions of the API and require that you use those subsequent versions. Your continued use of the API following a subsequent release will be deemed your acceptance of modifications.
The API is currently provided for free, but Wine Lister reserves the right to charge for the API in the future.
The Wine Lister API is owned by Wine Lister and access is granted to its users on a worldwide, non-exclusive, non-sub-licensable basis. All rights not expressly granted to API users are reserved by Wine Lister.
You understand that all data presented by the Wine Lister API is owned by Wine Lister.
Wine Lister owns all rights, title, and interest, including all intellectual property rights, in and to, the API, the content shared thereby, and Wine Lister’s Brand Features.
You must comply with these Terms in order to use the APIs.
We reserve the right to modify, supplement, or replace the terms of these Terms at any time.
Notwithstanding any provision hereof, for all purposes of the Terms, you and Wine Lister shall be and act independently and not as partner, joint venture, agent, employee or employer of the other. You shall not have any authority to assume or create any obligation for or on behalf of Wine Lister, express or implied, and you shall not attempt to bind Wine Lister to any contract.
You may terminate these Terms by discontinuing use of our APIs.
We may suspend or terminate your use of all or any of the APIs at any time if we believe you have violated these Terms or if we believe the availability of the API to you is not in our best interests.
We may discontinue the availability of some or all of the API at any time for any reason. We may also impose limits on certain features and services or restrict your access to some or all of the API or our Website. All of our rights in these Terms may be exercised without prior notice or liability to you.
Upon termination of these Terms:
The following sections of these Terms shall survive any termination: “Use of the API and Wine Lister Content”, “Treat the Wine Lister Brand with Respect”, “Ownership”, “Survival”, and “Limitation of our Liability”.
We provide Wine Lister materials and all other information and services on an “as is” and “as available” basis with no warranties, either express or implied, of any kind.
Wine Lister does not guarantee that the API the Wine Lister service or other developer resources it provides will function without interruption or errors in functioning. In particular, the operation of the Wine Lister API may be interrupted due to maintenance, updates, or system or network failures. Wine Lister disclaims all liability for damages caused by any such interruption or errors in functioning.
Wine Lister does not represent or warrant that the Wine Lister API is free of inaccuracies, errors, bugs or interruptions, or are reliable, accurate, complete or otherwise valid.
Furthermore, Wine Lister disclaims all liability for any malfunctioning, impossibility of access, or poor use conditions of the Wine Lister API due to inappropriate equipment, disturbances related to internet service providers, to the saturation of the internet network, and for any other reason.
Neither Wine Lister nor any of our employees, shareholders, or directors, shall be cumulatively liable for any special, incidental, indirect, punitive, or consequential damages or loss of use, profit, revenue or data to you or any third person arising from your use of Wine Lister materials accessed through or downloaded from Wine Lister.
